Governance Assessment

  • Positives

    • Independent Trustee with deep economics background and 12-portfolio oversight across the complex, supporting financial literacy and risk oversight .
    • Board-level processes appear active: five Board meetings in 2024; Audit Charter refreshed in 2025; clear committee leadership by Independent Trustees .
    • Attendance threshold met (≥75% of Board/committee meetings) in FY2024, indicating baseline engagement .
  • Watchpoints

    • Skin-in-the-game: Bogan reported 0 GDV shares as of 12/31/2024, though she reports over $100,000 across the Fund Complex; some investors may prefer direct ownership of the specific fund overseen .
    • Shareholder engagement optics: GDV states Trustees are not expected to attend annual meetings; none attended the May 13, 2024 meeting (applies to entire board/nominees), which some governance-focused investors view as suboptimal for engagement .
    • Committee transparency: GDV proxy does not specify Bogan’s GDV committee assignments (her bio notes committee service at other funds), limiting visibility into her role in audit/nom/gov oversight for GDV specifically .
  • Conflicts/Related-Party

    • No related-party transactions or conflicts disclosed for Bogan in the GDV proxy reviewed. Notably, a separate disclosure relates to another trustee (not Bogan) with an SEC settlement; the Board concluded it does not disqualify that trustee—no bearing on Bogan’s status .
