Mr. Mark Duff is a seasoned executive with over 40 years of management and technical experience in the environmental and construction sectors, including significant tenures at the U.S. Department of Energy and the U.S. Department of Defense.

He began his association with PESI in 2016 and advanced to the role of President and CEO in September 2017, later being elected to the Board of Directors in April 2023, thereby contributing to both the operational and strategic growth of the company.

Educationally, he earned an MBA from the University of Phoenix and a B.S. from the University of Alabama, providing a strong foundation for his career in corporate leadership.

Conditions and Additional Details

  • Minimum EBITDA Threshold: 75% of the EBITDA target must be achieved.
  • Cap on Total Compensation: Total performance compensation is capped at 50% of the Company’s pre-tax net income.
  • Vesting and Payment Schedule: The plan is effective from January 1, 2024 (approved January 18, 2024) with payouts made approximately 90 days after year-end upon finalization of audited financials.
