Governance Assessment

  • Positives for investor confidence:

    • Independent Chairman with strong fund services background; clear separation from “interested” Trustees .
    • Full attendance at Board and Committee meetings in FY 2024; strong engagement; committee participation spans Audit and Nominating/Governance .
    • Audit and Nominating Committees composed entirely of independent Trustees; Audit Committee oversight and reporting practices disclosed .
  • Watch items and potential conflicts:

    • Ownership alignment: Zader reported no SOR holdings in 2023 and 2024; Fund complex holdings also “None,” which may signal limited “skin in the game” relative to best practices for director alignment .
    • Related-party exposure (perception): UMB Fund Services is a current co-administrator to SOR while Zader is a former CEO (ended 2014). He is designated independent under the 1940 Act, but investors may monitor for any service-provider oversight sensitivities. Ms. Quill is “interested” due to current UMB affiliation, underscoring the importance of independent Chair and committees .
  • Risk indicators:

    • Legal proceedings: None material involving nominees; none material to integrity in past ten years .
    • Compliance: Section 16(a) beneficial ownership reporting believed fully compliant for FY 2024 and FY 2023 .
  • Compensation structure signals:

    • Cash-heavy retainer/meeting fee model; no performance-linked metrics disclosed for trustees; availability of deferred compensation elections .
    • Year-over-year increase in aggregate SOR compensation (2023 → 2024) and in fund complex totals reflects a fuller year of service and/or Chair responsibilities, though exact fee components not itemized .

RED FLAGS to monitor: zero reported ownership; historical tie to a current service provider (UMBF) despite independence designation; ensure continued strong independent committee oversight and disclosure on any related-party items .
