Maxeon and Aiko Announce Patent Licensing Agreement

Maxeon Solar Technologies (MAXN) and Shanghai Aiko Solar Energy Co., Ltd. (Aiko) have formally reached a patent licensing agreement.
Under the agreement, Aiko will obtain a license to Maxeon's Back Contact (BC) solar cell and module patents outside of the United States, including existing patents and those to be newly added over the next five years.
Both parties have agreed to withdraw and terminate all pending and potential patent enforcement actions and invalidation efforts against each other.

Maxeon Amends Senior Notes Indenture for Malaysia Asset Disposition

Maxeon Solar Technologies, Ltd. executed Supplemental Indenture No. 10 on January 23, 2026, to amend the indenture for its Variable-Rate Convertible First Lien Senior Secured Notes due 2029.
Zhonghuan Singapore Investment and Development Pte. Ltd., the holder of 100% of the outstanding principal amount of these notes, consented to the amendments.
This supplemental indenture permits the disposition of 100% of the shares of SunPower Malaysia Manufacturing Sdn Bhd to an independent third party.
Upon the consummation of this disposition, the security interest over the shares of SunPower Malaysia will be automatically released.

Maxeon Solar Technologies Files New Patent Infringement Lawsuit

Maxeon Solar Technologies (MAXN) has filed a new patent infringement lawsuit against Aiko Solar and its European distributors before the Munich Regional Court I in Germany.
The lawsuit alleges infringement of Maxeon's core back contact (BC) solar technology patent EP2297789B1 by Aiko's second-generation (Gen 2) and third-generation (Gen 3) BC solar module products sold in the European market.
This action expands on previous intellectual property protection lawsuits filed against Aiko in 2023 and 2024, all related to the same BC solar technology family.
Maxeon is seeking a permanent injunction, disclosure of sales data, compensation for damages, and the destruction of infringing inventory in Germany, and has named four major German solar product distributors as co-defendants.

Maxeon Amends Bilateral Development Services Agreement with TZE HK

Maxeon Solar Pte. Ltd. (MSPL) and Zhonghuan Hong Kong Holding Limited (TZE HK) entered into an Amended Bilateral Development Services Agreement, effective July 1, 2025, to continue collaborating on MAX8 Technology research and development.
Under the amended terms, TZE HK will fund a greater share of research and development costs, including all labor costs across all regions (Philippines, US, Singapore, China) and 50% of non-labor costs, a change from the previous 50/50 non-labor cost split and regional labor cost split.
The amended agreement shifts strategic control of the project to TZE HK, with MSPL responsible for execution, and eliminates the joint management committee that was previously responsible for project supervision.
Intellectual property ownership has been reallocated, making TZE HK the sole owner of all Foreground IP, except for US Patents which remain jointly owned, and TZE HK will lead patent prosecution outside the US.
